These Terms of Service govern the use of the online service "Podpart" (hereinafter "Podpart" or the "Service").

These Terms of Service apply to all users of the Service, whether consumers or business users.
Note on payment processing: Paid subscriptions (Pro Account) are concluded through the payment service provider Paddle (Paddle.com Market Ltd) as Merchant of Record. Paddle is the direct contractual partner for the purchase agreement. The Paddle Buyer Terms apply in addition. These Terms of Service exclusively govern the use of the Service.
Podpart enables the creation of video clips from podcast episodes. The Service includes searching publicly available podcasts, automated creation of video previews from podcast episodes, and rendering and downloading of finished videos.
Restriction to podcasts: The Service may only be used for podcast content. Use for audiobooks, music, copyrighted recordings of third parties, or other audio content that does not constitute a podcast is expressly prohibited.
The Service is offered in two tiers:
Use of the Service is permitted from the age of 16. For users under 18, the consent of a parent or legal guardian is required. By registering, the user confirms that they are at least 16 years old.
Registration is required to use the Service. You must provide your name and a valid email address. The email address must be verified by clicking a confirmation link.
Each user may only create one account. The user is obligated to keep their login credentials confidential and to protect them from third-party access. The user is responsible for all activities that take place under their account.
In case of suspected unauthorized use of the account, the user must immediately notify the Operator at kontakt@podpart.app .
The Free Account is free of charge and offers limited functionality. Created videos include a watermark. The Operator reserves the right to change the scope of features and usage limits included in the Free Account at any time.
The Pro Account is offered as a subscription through Paddle as Merchant of Record. The Paddle Buyer Terms apply to the purchase agreement.
14-day trial: New Pro users receive a free 14-day trial period. Payment details must be provided to Paddle to activate the trial. If the subscription is not cancelled before the end of the trial period, it automatically converts into a paid subscription. Cancellation during the trial period is possible at any time online through the account settings or through Paddle.
Automatic renewal: The Pro subscription automatically renews for the selected billing period (monthly or annually) unless cancelled before the end of the current period. For annual subscriptions, the user will receive an email reminder at least 30 days before the next renewal period begins.
Cancellation: The Pro subscription can be cancelled at any time online through the Service's account settings or through Paddle. Cancellation takes effect at the end of the current billing period.
Refund requests for new Pro subscriptions may be submitted within 14 days of the initial purchase.
All payments and refunds are processed by Paddle (Paddle.com Market Ltd) as Merchant of Record and are subject to the Paddle Buyer Terms and applicable consumer protection law (including any statutory right of withdrawal that may apply).
Refunds for renewal payments are generally not granted unless required by applicable law or approved under Paddle's own refund policies.
(1) Monthly subscriptions: For monthly subscriptions, the Operator may adjust prices for future billing periods where there is an objective reason for doing so (e.g. increased operating or licensing costs, or expansion of the scope of services). The adjustment will be communicated in writing at least 30 days before it takes effect. The user has the right to extraordinarily terminate the subscription before the price change takes effect (special termination right). If the user does not cancel, the subscription continues at the new price from the next billing period.
(2) Annual subscriptions: The agreed price remains unchanged for the respective contract term. Price changes are only permitted for future renewal periods. They will be communicated at least 30 days before the renewal period begins. The user may extraordinarily terminate the subscription before the renewal period begins. If the user does not cancel, the subscription renews at the new price.
Free Account users receive a simple, non-transferable right to use the videos created through the Service (including the watermark), including for commercial purposes.
By using the Free Account, the user grants the Operator a non-exclusive, perpetual, royalty-free, worldwide license to use and edit the videos created by the user on social media, the Operator's website, and other marketing channels to promote the Service (e.g. excerpts, screenshots, embeds).
Pro Account users receive a comprehensive right to use the videos created through the Service (without watermark), for all purposes including commercial use. No license is granted to the Operator.
The usage rights granted through the Service relate exclusively to the technical creation of the videos (design, animations, subtitles). Rights to the underlying podcast content (audio, intellectual property of the podcast creator) remain unaffected and are not transferred by these Terms of Service. The responsibility for lawful use of the podcast content lies solely with the user (see Section 8).
The user represents and warrants that they are authorized to create and distribute videos from the podcast episodes they use. The user is solely responsible for compliance with all applicable third-party rights, including copyrights, neighboring rights, trademark rights, and personality rights.
When using the Pro Account with custom audio uploads or unlisted RSS feeds, the user additionally warrants that they possess the necessary rights to the uploaded or retrieved content.
The user shall indemnify and hold harmless the Operator, its agents, and affiliated companies from and against any and all claims, demands, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from a breach of the warranties set out in this section, from the unlawful use of content by the user, or from a violation of these Terms of Service.
The Operator is not obligated to proactively monitor user-generated content for potential legal violations. However, the Operator will act promptly upon becoming aware of specific legal violations and will remove or disable access to the affected content (notice-and-takedown). The user agrees not to use the Service for the following purposes:
In case of violations, the Operator reserves the right to suspend or terminate the user account (see Section 13).
The Operator strives for the highest possible availability of the Service but does not guarantee constant, uninterrupted availability. Maintenance, updates, and technical disruptions may lead to temporary restrictions.
The Operator is not liable for damages resulting from temporary unavailability of the Service, unless caused by intent or gross negligence.
The Service is provided "as is" and "as available." The Operator makes no warranty regarding the accuracy, completeness, or quality of content created through the Service, in particular AI-generated transcriptions and video clips. The user is responsible for reviewing the created content before use.
The Operator's liability is unlimited in cases of intent, gross negligence, and injury to life, body, or health.
In cases of slight negligence, the Operator is only liable for breach of essential contractual obligations (cardinal obligations). Liability is limited to the damage typically foreseeable at the time of contract conclusion in such cases.
Towards business users, liability for slight negligence is additionally limited to the contract value of the last 12 months, with a maximum of EUR 500.
The Operator is not liable for third-party content (in particular podcast content) or for results of AI-based services. Liability for lost profits and indirect or consequential damages is excluded to the extent permitted by law.
Additional note for international users: To the maximum extent permitted by applicable law, all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, are disclaimed.
Audio files, video clips, and transcripts are automatically deleted after 30 days of inactivity. Upon deletion of the user account, all associated content is deleted immediately.
Users can delete their content at any time through the user interface.

Termination by the user: The user can delete their account at any time through the account settings. Account deletion takes effect immediately. An existing Pro subscription must additionally be cancelled through Paddle or the account settings.
Termination/suspension by the Operator: The Operator may suspend or terminate the user account in the event of violations of these Terms of Service. The user will be notified by email. In the event of suspension or termination by the Operator due to violations, there is generally no entitlement to a refund of payments already made, unless required by mandatory law or by Paddle's own refund policies.
The Operator reserves the right to modify these Terms of Service. Changes will be communicated to the user by email at least four weeks before they take effect.
The user may object to the changes within this period. If the user objects, they have the right to terminate their account. If the user continues to use the Service after the period expires, the modified Terms of Service are deemed accepted.
The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
The place of jurisdiction for disputes with business users is Berlin. For consumers, the statutory place of jurisdiction applies.
Should individual provisions of these Terms of Service be or become invalid, the validity of the remaining provisions shall remain unaffected.
